Neuron's Terms and Conditions
Effective from 1 June 2026
These Terms and Conditions apply to your use of the Neuron website, the Neuron platform, and any services provided by Neuron.
By accessing the website, creating an account, using the platform, requesting a demo, accepting a proposal, purchasing a subscription, using a trial, or receiving consulting services from Neuron, you agree to these Terms.
If you use Neuron on behalf of a company, consultancy, developer, architect, engineering firm, project team or other organisation, you confirm that you have authority to accept these Terms on behalf of that organisation.

2. What These Terms Cover
These Terms apply to:
a. the Neuron website at www.neuron.build and related pages;
b. the Neuron platform, including Neuron Assess, Neuron Analyze, Neuron Align and any related tools, workflows, reports, exports, dashboards, data environments or project workspaces;
c. any trial, pilot, demo, subscription, project package, enterprise access or paid account;
d. any consulting, onboarding, support, feasibility engineering, project assistance, implementation or professional services provided by Neuron, unless a separate signed agreement says otherwise.
If you enter into a separate proposal, order form, statement of work, subscription agreement or consulting agreement with Neuron, that document will apply together with these Terms. If there is a conflict, the separate written agreement will take priority for that specific work or subscription.
3. Definitions
“Website” means www.neuron.build and any related Neuron webpages.
“Platform” means the Neuron software platform, including any tools, modules, project workspaces, dashboards, reports, exports, markups, workflows, data environments and related functionality.
“Neuron Tools” means Neuron Assess, Neuron Analyze, Neuron Align, the Neuron Engine and any other Neuron software tools or modules made available from time to time.
“Services” means the Platform, Website, subscriptions, trials, demos, support, onboarding, consulting services, project services and any other services provided by Neuron.
“Customer Data” means any information, drawings, plans, files, models, markups, comments, assumptions, project information, calculations, documents, images, data or other material uploaded, entered, submitted, connected or provided by you or on your behalf.
“Engineering Data” means any engineering-related information entered into, processed by, displayed by or generated through the Platform or Services, including assumptions, calculations, spatial allowances, load estimates, demand estimates, utility requirements, infrastructure information, plant allowances, riser strategies, service zones, system options, markups, design constraints and reports.
“Platform Outputs” means any output generated, displayed, exported or made available through the Platform, including demand models, utilities assessments, spatial matrices, options comparisons, design guides, reports, dashboards, PDFs, exports, markups, coordination overlays, summaries, assumptions, recommendations and other outputs.
“Consulting Services” means any services provided by Neuron outside standard platform access, including feasibility engineering support, project support, report preparation, implementation, training, onboarding, validation, review, advisory support or other project-based services.
4. Use of the Website
You may use the Website for lawful business purposes only.
You must not use the Website in a way that damages, disrupts, overloads, interferes with or impairs the Website or any Neuron system.
All content on the Website, including text, graphics, images, logos, branding, layouts, product descriptions, documents and other materials, is owned by or licensed to Neuron.
You may view and use Website content for normal business evaluation of Neuron. You must not copy, modify, distribute, reproduce, sell, publish or commercially exploit Website content without our written permission.
5. Platform Access and Accounts
You may need an account to access the Platform.
You must provide accurate and up-to-date information when creating an account or purchasing Services.
You are responsible for keeping your login details secure and for all activity that occurs under your account.
You must not allow unauthorised users to access your account or use another person’s account without permission.
You must notify us promptly if you become aware of unauthorised access or a security issue.
We may refuse, suspend or terminate access if we reasonably believe that an account has been misused, is insecure, breaches these Terms, creates risk for Neuron, or is being used unlawfully.
6. Licence to Use the Platform
Subject to these Terms and payment of any applicable fees, Neuron grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes.
You do not own the Platform, the Neuron Tools, the Neuron Engine, the software, the workflows, the templates, the interface, the logic, the automation, the reports, the data structures or any Neuron intellectual property.
You must not:
a. copy, modify, reverse engineer, decompile or attempt to extract the source code of the Platform;
b. use the Platform to build, train, benchmark or improve a competing product or service;
c. resell, sublicense, rent or commercially exploit the Platform unless we agree in writing;
d. bypass usage limits, security controls, access restrictions or billing mechanisms;
e. interfere with the security, performance, availability or operation of the Platform;
f. upload malicious code, malware, viruses or harmful files;
g. use the Platform for unlawful, misleading, unsafe or infringing purposes.
7. Engineering Data and Platform Outputs
This section is important.
Neuron is a software and services business. The Platform is designed to help users create, structure, test, compare, coordinate and export engineering-related information more efficiently.
Neuron does not replace professional judgement.
Neuron does not provide final engineering certification, stamped engineering documentation, building approval, planning approval, code approval, utility approval, construction certification or professional sign-off through the Platform unless this is expressly agreed in a separate written agreement.
Platform Outputs are generated from Customer Data, user inputs, project information, assumptions, default values, workflows, calculation logic and software processes.
Platform Outputs may be incomplete, inaccurate, outdated, unsuitable for a specific project, or based on assumptions that do not apply to your project, jurisdiction, building type, authority requirement, utility requirement, code requirement or professional standard.
You are solely responsible for:
a. all Customer Data, project information and assumptions entered into the Platform;
b. checking that all inputs are accurate, complete and suitable;
c. reviewing, validating and approving all Engineering Data and Platform Outputs before using, sharing or relying on them;
d. ensuring that appropriately qualified professionals review and approve any information used for engineering, design, construction, planning, permitting, pricing, procurement, authority submissions, utility submissions, client advice or commercial decisions;
e. deciding whether any Platform Output is suitable for your project, client, site, location, discipline, jurisdiction, stage or intended use;
f. all decisions, actions, omissions, reports, drawings, calculations, cost plans, designs, submissions, advice and downstream outcomes that rely on, refer to or are influenced by Platform Outputs.
You must not treat any Platform Output as final engineering advice, certified design, construction-ready documentation, permit-ready documentation, authority-approved information, cost certainty, utility approval, planning approval or professional sign-off unless it has been independently reviewed and approved by appropriately qualified professionals.
Neuron is not responsible for any error, omission, assumption, defect, inaccuracy, incompleteness or unsuitability in Customer Data, Engineering Data or Platform Outputs.
Neuron is not liable for any loss, damage, cost, delay, redesign, professional liability, project failure, construction issue, code issue, compliance issue, authority issue, utility issue, commercial decision, land acquisition decision, planning decision, cost decision or third-party claim arising from your use of, reliance on, sharing of, or failure to review any Engineering Data or Platform Output.
Where any automated, AI-assisted or similar functionality is made available in the future, it will form part of the Platform Outputs and must be reviewed, checked and validated in the same way.
8. Consulting Services
Neuron may provide Consulting Services from time to time.
Consulting Services may include feasibility engineering support, project assistance, implementation, onboarding, reporting, analysis, workflow setup, validation, review, advisory support or other services agreed with you.
Consulting Services will be provided under a proposal, order form, statement of work, email confirmation or other written agreement.
Unless expressly stated in writing, Consulting Services are provided for early-stage feasibility, analysis, coordination, workflow support and decision support only.
Unless expressly agreed in writing, Consulting Services do not include final design certification, stamped engineering documents, construction certification, planning approval, utility approval, code approval, building approval, legal advice, financial advice or authority sign-off.
You remain responsible for ensuring that all Consulting Services outputs are reviewed and approved by appropriately qualified professionals before being used for design, construction, permitting, authority submissions, pricing, procurement, client advice or other project decisions.
Any dates, timeframes, outputs or deliverables for Consulting Services are estimates unless expressly agreed as binding in writing.
9. Customer Data
You retain ownership of your Customer Data.
You grant Neuron a licence to host, store, copy, process, transmit, display, analyse, use and modify Customer Data as needed to provide the Services, generate Platform Outputs, support your account, maintain the Platform, improve the Services, comply with law and enforce these Terms.
You confirm that you have the rights and permissions needed to upload, submit or use Customer Data in the Platform.
You must not upload or submit material that infringes another person’s rights, breaches confidentiality, violates law, or contains unlawful, harmful, misleading or inappropriate content.
You are responsible for keeping your own copies and backups of Customer Data, project files, reports, exports and other materials.
10. Aggregated and De-Identified Data
Neuron may use aggregated, anonymised or de-identified data derived from use of the Platform and Services.
This may be used for analytics, benchmarking, product improvement, automation improvement, performance monitoring, reporting, research and business purposes.
Neuron will not use aggregated or de-identified data in a way that identifies you, your organisation, your clients, your projects or any individual.
11. Privacy and Data Protection
Neuron will handle personal information in accordance with its Privacy Policy.
You are responsible for ensuring that any personal information you provide to Neuron or upload into the Platform has been collected and shared lawfully.
You must not upload unnecessary sensitive personal information into the Platform.

12. Fees, Subscriptions and Payment
Fees for the Platform, subscriptions, project packages, Consulting Services or other Services will be set out on the Website, in the Platform, in an invoice, in a proposal, in an order form, or in another written communication from Neuron.
You agree to pay all fees when due.
Unless stated otherwise, fees are exclusive of taxes, duties, levies or similar charges. You are responsible for applicable taxes, except taxes based on Neuron’s income.
Subscriptions may renew automatically if stated in the order, subscription terms, checkout process, invoice or proposal.
Where a subscription renews automatically, we will explain the renewal terms, price, billing period and cancellation method before or at the point of purchase.
You may cancel a subscription in accordance with the cancellation process stated in the Platform, order form, proposal or subscription terms.
Fees are non-refundable unless required by law or expressly agreed in writing.
If payment is overdue, Neuron may suspend or restrict access to the Services until payment is received.
13. Trials, Pilots and Beta Access
Neuron may offer trials, pilots, demos, early access or beta features.
Trials, pilots, demos, early access and beta features are provided for evaluation and testing only.
They may be incomplete, limited, unsupported, changed or withdrawn at any time.
Neuron is not liable for loss or damage arising from use of trials, pilots, demos, early access or beta features, except where liability cannot be excluded by law.
14. Third-Party Services and Links
The Website or Platform may contain links to third-party websites, content, tools, integrations, data, hosting providers, payment processors, analytics tools or other services.
Neuron does not control third-party services and is not responsible for their content, accuracy, availability, security, performance or terms.
Your use of third-party services may be subject to separate terms and policies.
15. Intellectual Property
Neuron owns or licenses all intellectual property rights in the Website, Platform, Neuron Tools, Neuron Engine, software, workflows, templates, automation, data structures, reports, documentation, branding, designs, methods, know-how, processes and related materials.
Nothing in these Terms transfers Neuron intellectual property to you.
You must not remove, obscure or alter any copyright, trademark or proprietary notices.
16. Feedback
If you provide feedback, ideas, suggestions, comments, requests or improvements, you allow Neuron to use them without restriction or payment.
Neuron may use feedback to improve its products, services, workflows, documentation, marketing and business.
17. Availability and Changes
Neuron aims to provide reliable access to the Website and Platform, but we do not guarantee that the Services will be uninterrupted, error-free, secure or available at all times.
We may update, change, suspend, restrict or discontinue any part of the Website, Platform or Services at any time.
We are not responsible for issues caused by factors outside our reasonable control, including internet outages, third-party services, hosting providers, cyber incidents, user systems, force majeure events or customer-side issues.
18. No Warranties
To the maximum extent permitted by law, the Website, Platform, Platform Outputs, Engineering Data and Services are provided “as is” and “as available”.
Neuron does not give any warranty that:
a. the Services will meet your requirements;
b. the Services will be uninterrupted, secure, accurate or error-free;
c. Platform Outputs will be accurate, complete, reliable, suitable or compliant;
d. the Platform will produce any particular engineering, planning, design, cost, commercial, authority, utility, construction or project outcome;
e. any defect will be corrected;
f. Customer Data will never be lost.
To the maximum extent permitted by law, Neuron excludes all implied warranties, representations and conditions, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, compliance, suitability and professional adequacy.
Nothing in these Terms excludes rights, guarantees or remedies that cannot be excluded under applicable law, including applicable consumer, small business or unfair contract laws in the United States, United Kingdom or Australia.
19. Limitation of Liability
To the maximum extent permitted by law, Neuron will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage.
This includes loss of profits, revenue, business, opportunity, goodwill, anticipated savings, data, use, project value, contract value, design value, development value, approval, certification, cost certainty, programme certainty or professional liability exposure.
To the maximum extent permitted by law, Neuron is not liable for loss or claims arising from:
a. Customer Data;
b. Engineering Data;
c. Platform Outputs;
d. your reliance on Platform Outputs;
e. your failure to review, verify or validate Platform Outputs;
f. decisions made by you, your clients, your consultants, your contractors or other project participants;
g. project delays, redesign, rework, cost overruns, construction issues, code issues, compliance issues, planning issues, authority issues or utility issues;
h. third-party services, integrations, websites or data;
i. unauthorised account access caused by your failure to protect login details;
j. trials, pilots, demos, beta features or early access features.
To the maximum extent permitted by law, Neuron’s total liability for all claims arising out of or relating to these Terms, the Website, the Platform, Platform Outputs or Services will not exceed the amount paid by you to Neuron for the relevant Service in the 12 months before the event giving rise to the claim.
Where no amount has been paid, Neuron’s total liability will not exceed £100, US$100 or AU$100, depending on the currency most closely connected with the relevant Service.
20. Indemnity
You agree to indemnify Neuron against claims, losses, damages, liabilities, costs and expenses arising from:
a. your breach of these Terms;
b. your use of the Website, Platform or Services;
c. Customer Data;
d. your use of, reliance on or sharing of Platform Outputs or Engineering Data;
e. your professional services, advice, reports, designs, submissions, calculations or decisions;
f. any claim by your client, consultant, contractor, authority, purchaser, investor, lender, project participant or other third party relating to your use of Neuron.
21. Suspension and Termination
Neuron may suspend or terminate your access to the Website, Platform or Services if:
a. you breach these Terms;
b. you fail to pay fees when due;
c. your use creates legal, security, operational or reputational risk;
d. we are required to do so by law;
e. we discontinue the relevant Service.
On termination, your right to access the Platform ends.
Any sections that should reasonably survive termination will continue, including sections on intellectual property, Customer Data, confidentiality, payment, disclaimers, liability, indemnity and general terms.
22. Changes to These Terms
Neuron may update these Terms from time to time.
The updated Terms will be published on the Website or otherwise made available.
Your continued use of the Website, Platform or Services after the updated Terms take effect means you accept the updated Terms.
23. Governing Law and Disputes
Unless a separate written agreement states otherwise, these Terms are governed by the laws of England and Wales.
However, if you access or purchase Services from the United States, Australia or another jurisdiction, mandatory local laws may also apply and nothing in these Terms excludes rights that cannot lawfully be excluded.
Before starting formal proceedings, each party will use reasonable efforts to resolve disputes in good faith.
Nothing in these Terms prevents either party from seeking urgent relief for misuse of intellectual property, confidential information, data, systems or the Platform.
24. General
These Terms, together with any applicable proposal, order form, subscription terms, privacy policy or written agreement, form the agreement between you and Neuron.
If part of these Terms is invalid or unenforceable, the rest will continue to apply.
A failure to enforce a right is not a waiver of that right.
You may not assign these Terms without Neuron’s written consent.
Neuron may assign these Terms as part of a merger, acquisition, restructure, sale of assets, financing or corporate transaction.
